Welcome to EARN | Elite Agent Referral Network Inc. ("EARN," "we," "us," or "our"). These Terms and Conditions ("Terms") constitute a legally binding agreement between you (the "Member") and EARN, governing your access to and use of our website, member portal, and any other related interactions (collectively, the "Services"). By accessing or using the Services, you confirm your acceptance of these Terms. If you do not agree, you must refrain from using the Services.
1.1. To access and use the Services, you must meet the following criteria:
1.2. By applying for and using the Services, you warrant and represent that you meet the above criteria and that the information provided during the application process is accurate and complete.
2.1. Account Information: Members are required to furnish accurate, complete, and up-to-date information during the application process. Any changes to the information provided must be promptly updated.
2.2. Security: Members are solely responsible for maintaining the confidentiality of their login credentials and for all activities conducted under their account. Any unauthorized access or suspected breach must be reported to EARN immediately.
2.3. Exclusive Territory: Membership confers exclusive rights to the designated geographic territory as outlined in the membership agreement. This exclusivity remains subject to active membership status and adherence to these Terms. EARN reserves the right to modify territory boundaries and exclusivity provisions at its sole discretion at any time.
3.1. EARN facilitates the connection and routing of real estate referrals between members. Core capabilities include:
3.2. EARN does not guarantee the outcome of referrals or the payment of commissions. EARN takes zero commission on any referral transaction.
4.1. Dues: Membership dues are payable monthly and will automatically renew at the end of each billing cycle. Membership is month-to-month with no long-term contract. Members may cancel before the next billing cycle; upon cancellation, the territory is released immediately with no cancellation penalty.
4.2. Failed Payments: A grace period of approximately one month applies for billing issues such as expired cards or declined transactions. If a referral is routed to a member whose payment is in arrears, payment must be rectified within 24 hours to receive the referral. Failure to rectify payment during an active referral may result in territory revocation.
4.3. Adjustments: EARN reserves the right to adjust membership dues with prior notice provided to members.
4.4. Referral Guarantee: If a territory holder does not receive an inbound client referral within the first six months of active membership, dues are automatically paused until the first referral is received. There is no time limit on the pause period. Dues resume upon receipt of the first inbound referral.

EARN reserves the right to suspend or terminate membership for breaches of these Terms, including but not limited to: lapsed licensing, failure to respond to inbound referrals, consistent complaints about service quality, failure to participate in outbound referral activity, or conduct that undermines the network's reputation or integrity.
6.1. Confidentiality: All information shared through the network must be treated as confidential and used solely for professional purposes. Disclosure of member information, territory assignments, or referral details to unauthorized parties is strictly prohibited.
6.2. Privacy: EARN's data collection and processing practices are outlined in the Privacy Policy. By using the Services, you consent to these practices.
7.1. Members are independently responsible for negotiating and formalizing referral agreements. EARN provides referral agreement generation and digital signature tools to facilitate this process.
7.2. EARN takes zero commission on any referral transaction. Standard agent-to-agent referral terms apply between members.
7.3. The accuracy of referral tracking records is contingent upon member input. All invoicing and collection of commissions are the sole responsibility of the member and their brokerage.
7.4. Members are solely responsible for resolving any disputes related to referral commissions or agreements.
8.1. All content, trademarks, and materials provided through the Services are the exclusive property of EARN or its licensors.
8.2. Members are prohibited from reproducing, distributing, or modifying EARN content without prior authorization. Members who are granted the Verified Member Seal may display it on their own marketing materials in accordance with the Brand Guidelines.
9.1. EARN reserves the right to suspend or terminate access to the Services in cases of:

10.1. The Services are provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
11.1. Members agree to indemnify, defend, and hold harmless EARN and its affiliates from and against any claims, damages, or liabilities arising out of:
12.1. These Terms shall be governed by and construed in accordance with the laws of Canada and any jurisdiction in which EARN operates.
12.2. Any disputes arising from these Terms shall be resolved through binding arbitration in Canada, conducted in accordance with the rules and procedures of a recognized Canadian arbitration body. The arbitration decision shall be final and binding on all parties.
13.1. EARN reserves the right to modify these Terms at any time. Notice of changes will be provided through email or portal notifications. Continued use of the Services after such changes constitutes acceptance of the revised Terms.
